Agent Agreement

1. Introduction

This Agent Agreement ("Agreement") governs the relationship between Faris Helmet Store ("FHSEmpire", "Company", "we", "us") and the individual or entity who registers as an authorized sales agent ("Agent", "you").

By registering as an Agent, you agree to be bound by this Agreement, our Terms of Service, and all applicable policies.

2. Agent Appointment

• Agents are appointed at the sole discretion of FHSEmpire
• This appointment is non-exclusive — FHSEmpire may appoint other agents
• Agents are independent contractors, not employees
• Agents have no authority to bind FHSEmpire contractually

3. Agent Responsibilities

As an Agent, you agree to:

• Promote FHSEmpire products honestly and ethically
• Use only approved marketing materials
• Direct all sales through the official FHSEmpire website
• Provide accurate information to customers
• Not make false claims about products or prizes
• Respond to customer inquiries directed to your referral within 24 hours
• Comply with all applicable laws and regulations

4. Commission Structure

• Commission is calculated per confirmed order
• Commission is earned only on paid and non-refunded orders
• Tiered commission applies to single order quantity, not cumulative

5. Commission Payment

• Commissions are paid after customer payment is confirmed
• Payout schedule: Weekly (every Friday) or upon reaching RM100 threshold
• Payment method: Bank Transfer to your registered account
• You must provide valid bank account details
• FHSEmpire will provide payout receipts for your records

6. Prohibited Activities

Agents are strictly prohibited from:

• Making false or exaggerated claims about products or prizes
• Guaranteeing customers will win prizes
• Collecting payments outside the official website
• Creating unauthorized discount codes
• Using spam or deceptive marketing tactics
• Reselling products at prices different from official pricing
• Registering fake orders to earn commission

7. Brand Guidelines

• Use only official FHSEmpire logos and images
• Do not modify or alter promotional materials
• Always include the official website link in promotions
• Mention that terms and conditions apply for the Lucky Draw

8. Tracking & Reporting

• Each Agent is assigned a unique referral code
• Orders are tracked via your referral code in the system
• You can view your sales dashboard in the admin panel (if provided)
• FHSEmpire's records are the final authority on commission calculations

9. Term & Termination

This Agreement is effective from the date of your Agent registration and continues until terminated.

Termination by Agent

You may terminate this Agreement at any time by notifying FHSEmpire via WhatsApp.

Termination by FHSEmpire

FHSEmpire may terminate this Agreement:

• Immediately for violation of this Agreement
• Immediately for fraudulent or unethical behavior
• With 7 days notice for any other reason

Upon Termination

• Your referral code will be deactivated
• Pending commissions (for confirmed orders) will still be paid
• You must cease all promotional activities using FHSEmpire branding

10. Confidentiality

You agree to keep confidential:

• Commission rates and payment structures
• Internal business processes
• Customer data (you may not use customer data for personal purposes)
• Any proprietary information shared by FHSEmpire

11. Liability

• Agents are liable for their own actions and representations
• FHSEmpire is not responsible for Agent's independent marketing activities
• Agents shall indemnify FHSEmpire against claims arising from their conduct

12. Modifications

FHSEmpire reserves the right to modify this Agreement, commission rates, or program structure at any time. Agents will be notified of significant changes. Continued participation after changes constitutes acceptance.

13. Governing Law

This Agreement is governed by the laws of Malaysia. Disputes shall be resolved through negotiation first, then through the Malaysian courts if necessary.
